THIS HTA STATE AMBASSADOR AGREEMENT, made and entered into on the day of signing listed below by and between the Company (HTCAA/HTA) PO Box 667, Shiner, TX 77984, USA, and the Influencer/ HTA Ambassador. The Company/HTCAA/HTA and the Influencer/HTA Ambassador agree. 1. Appointment. The Company would like the Influencer/ HTA Ambassador’s assistance in promoting / offering / selling the Company’s services and memberships via their social media accounts. The Company hereby appoints the Influencer/ HTA Ambassador as its representative on a non-exclusive, non-employee basis to endorse and promote its services to the target audience.

2. Term. This Agreement shall have an initial term of one (1) year and shall automatically renew for additional one-year terms thereafter unless either party provides thirty (30) days prior written notice of its intention of nonrenewal.

3. Deliverables. The Influencer/ HTA Ambassador will deliver the following:· Post on www.horsetrailsofamerica.com at least once a month (ideally once a week) in your state’s forum (https://www.horsetrailsofamerica.com/community-trail-talk). Share a trail, share a riding resource (a local club or ride happening, or info about the state horse council). Share details about riding in your state.· Share your Ambassador status with your friends on social media. Invite your friends to the HTA Facebook group (https://www.facebook.com/groups/horsetrailsofamerica/) and online state forum (https://www.horsetrailsofamerica.com/community-trail-talk).· Share HTA Facebook group posts (https://www.facebook.com/groups/horsetrailsofamerica/) with your local/state trail riding and horse groups on Facebook and other social media. · Become a member of at least two state horse or trail riding groups on Facebook as well as other social media and help share the info to those local groups. Be active on our HTA Facebook group (https://www.facebook.com/groups/horsetrailsofamerica/) and share the info to the horse forum website (https://www.horsetrailsofamerica.com/community-trail-talk) whenever it pertains to your state. When someone asks about a trail in your state, respond to them as possible. Point trail riders to the map (https://www.horsetrailsofamerica.com/themap) on the HTA website for information.Encourage members to submit locations to the map. Abide by the rules of the relevant social media platforms, and posts are subject to the Company's acceptance and approval. The Company has a maximum of 10 days to reject any deliverable in accordance with this Section and must notify the Influencer/ HTA Ambassador within five (5) business days of receipt of work that additional revisions and/or amendments will be requested. 11. Force Majeure. In the event either party is unable to perform its obligations under the terms of this Agreement because of acts of God, political interruptions, natural disasters, fires, or other causes reasonably beyond its control, such party shall not be liable for damages to the other for any damages resulting from such failure to perform or otherwise from such actions.

4. Brand Rule Guidelines. All blog posts, social media statuses, tweets, and/or comments should be in good taste and free of inappropriate language, including profanity or music that contains profanity and/or any content promoting bigotry, racism, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, political affiliation, or age. All posts should position the Company in a favorable manner. Influencer/ HTA Ambassador is a reflection of the Company and, therefore, should reflect a professional image.

5. Approval and Content Origination: The Influencer/ HTA Ambassador understands that all promotions and products they promote as part of this agreement are controlled by the Company. The Influencer/ HTA Ambassador assumes all responsibility for verifying that the campaign materials used meet the Company’s approval.

6. Compensation. In full consideration of the Influencer/ HTA Ambassador’s performance, his / her obligations, and the rights granted herein, the Influencer/ HTA Ambassador shall be compensated with a complimentary one-year, renewable membership at the Comprehensive Membership Level and a 20% discount to the HTA online store (one-time use with code HTA23). The Influencer/ HTA Ambassador may choose to purchase the Excess Liability Insurance for an individual or family. The Influencer/ HTA Ambassador will otherwise perform the services at his/her own expense and use his/her own resources and equipment. The Influencer/ HTA Ambassador acknowledges that the agreed-upon compensation represents the Influencer/ HTA Ambassador’s entire compensation with respect to this agreement, and the Company shall have no other obligation for any other compensation to or expenses or costs incurred by the Influencer/ HTA Ambassador in connection with the performance of its obligations under this agreement.

7 & 8: 7. Payment Terms. Payment will be made in terms of product or product discounts based upon agreed compensation criteria, and cash payments will not be exchanged. 8. Integrity Clause: The Influencer/ HTA Ambassador acknowledges and agrees that the effective performance of his/her duties requires the highest level of integrity and the Company’s complete confidence in the Influencer/ HTA Ambassador’s relationship with all other persons with whom the Influencer/ HTA Ambassador deals in the course of the agreement. The Influencer/ HTA Ambassador agrees to be mindful of what is posted to the platforms and understands that the Influencer/ HTA Ambassador is a reflection of the Company. Influencer/ HTA Ambassador agrees not to post anything that would question the integrity of the Company.

9, 10, 11: 9. Confidentiality and Exclusivity. During the course of the Influencer/ HTA Ambassador's performance of services for the Company, the Influencer/ HTA Ambassador will receive, have access to, and create documents, records, and information of a confidential and proprietary nature to the Company and customers of the Company. The Influencer/ HTA Ambassador acknowledges and agrees that such information is an asset of the Company or its clients, is not generally known to the trade, is of a confidential nature, and, to preserve the goodwill of the Company and its clients must be kept strictly confidential and used only in the performance of the Influencer/ HTA Ambassador's duties under this Agreement. The Influencer/ HTA Ambassador agrees that he/she will not use, disclose, communicate, copy, or permit the use or disclosure of any such information to any third party in any manner whatsoever except to the existing employees of the Company or as otherwise directed by the Company in the course of the Influencer/ HTA Ambassador's performance of services under this Agreement, and thereafter only with the written permission of the Company. Upon termination of this Agreement or upon the request of the Company, the Influencer/ HTA Ambassador will return to the Company all of the confidential information and all copies or reproductions thereof, which are in the Influencer/ HTA Ambassador's possession or control. 10. Material disclosures and compliance with FTC Guidelines. When publishing posts/statuses about the Company’s products or services, the Influencer/ HTA Ambassador must clearly disclose his/her “material connection” with the Company, including the fact that the Influencer/ HTA Ambassador was given any consideration, was provided with certain experiences or is being paid for a particular service. The above disclosure should be clear and prominent and made in close proximity to any statements that the Influencer/ HTA Ambassador makes about the Company or the Company’s products or services. Please note that this disclosure is required regardless of any space limitations of the medium (e.g., Twitter), where the disclosure can be made via Hashtags, e.g., #sponsored. The Influencer/ HTA Ambassador’s statements should always reflect the Influencer/ HTA Ambassador’s honest and truthful opinions and actual experiences. 11. The Influencer/ HTA Ambassador should only make factual statements about the Company or the Company's products which the Influencer/ HTA Ambassador knows for certain are true and can be verified.

12, 13: 12. Independent Contractor. The Influencer/ HTA Ambassador is retained as an independent contractor of the Company. The Influencer/ HTA Ambassador acknowledges and agrees that (i) The Influencer/ HTA Ambassador is solely responsible for the manner and form by which the Influencer/ HTA Ambassador performs under this Agreement, and (ii) The Influencer/ HTA Ambassador is a self-employed individual, who performs services similar to the services outlined in the attached in item 3 above. The Influencer/ HTA Ambassador is responsible for the withholding and payment of all taxes and other assessments arising out of the Influencer/ HTA Ambassador's performance of services, and neither the Influencer/ HTA Ambassador nor any of the Influencer/ HTA Ambassador's employees or independent clients shall be entitled to participate in any employee benefit plans of the Company.13. Cancellation. Either party may terminate this agreement upon ten days prior written notice if the other party breaches this agreement and does not cure such breach within such time period. In addition to any right or remedy that may be available to the Company under this agreement or applicable law, In addition, in the event that the Influencer/ HTA Ambassador has breached this agreement, the Company may (i) immediately suspend, limit or terminate the Influencer/ HTA Ambassador’s access to any Company account and/or (ii) instruct the Influencer/ HTA Ambassador to cease all promotional activities or make clarifying statements, and the Influencer/ HTA Ambassador shall immediately comply. Either party may terminate this agreement at any time without cause.

14, 15, 16: 14. Governing Law. This agreement shall be governed by, and its provisions enforced in accordance with, the laws of the State of Texas without regard to its principles of conflicts of laws. 15. No Joint Venture. This Agreement does not constitute and shall not be construed as constituting an association, partnership, joint venture, or relationship of principal and agent or employer and employee between Influencer/ HTA Ambassador and HTCAA/HTA. Neither party shall have any right to obligate or bind the other party in any manner whatsoever, nor, except as expressly set forth herein, nothing herein contained shall give, or is intended to give, any rights of any kind to any person.16. Entire Agreement. This writing constitutes the entire agreement between the parties hereto and may not be changed or modified except by a writing signed by the party or parties to be charged thereby.
